Context:
Within a dynamic Legal Directorate and under the responsibility of the Head of Contracts, your mission is to ensure real legal certainty of business in the international regions you will be responsible for, in close coordination with the tender teams and you will be responsible for the following activities for all or part of the Business Units of the AXENS Group.
Missions:
Your missions will be as follows :
• Extensive and pragmatic analysis of sales contracts in oil and gas projects (OTC, public and private tender files) on the scope assigned to you, including process licensing contracts, sales of engineering services related to said processes, sales of equipment, products and more generally, services.
• You are also responsible for the analysis, negotiation and drafting of commitments ancillary to the above contracts, including: pre-contractual agreements (upstream of offers), confidentiality agreements, grouping agreements, subcontracting contracts.
• In particular, you prepare deviations and recommendations on the legal and editorial aspects of all these contracts and tenders, and identify the risk clauses, in accordance with the contractual policy and governance of the AXENS group;
• Participation in the preparation and follow-up of negotiations concerning these contracts or tenders, in direct relation with the tender teams, technical teams, other support functions (notably finance, insurance, ethical team and compliance), customers and partners;
• Pre-litigation events or international litigation (possibly mediation and/or arbitration), in connection with Axens' law firms responsible for defending interests;
• Training and ad hoc awareness of operational staff on various legal subjects (contract fundamentals, intellectual property, etc.).
• One-time trips abroad are to be expected.
Knowledge and Required Level :
• You are a graduate of a Bac +5 minimum, Master 2 Law of International Contracts. You have 3 to 5 years of experience in a position of Legal Contracts International.
• You have an excellent knowledge of contract law (civilist and Common Law) and master the general principles of private and public tendering abroad.
• You speak and write perfectly legal English, an essential tool for your daily life.
• You demonstrate real curiosity both for your specialty and for teal issues
